Terms and Conditions

The short version: These terms apply when you use our website and when you buy from MIJU Beauty, whether you are an approved wholesale account or a retail customer paying MSRP. We verify accounts and payments to protect our customers and brands, and we may decline or cancel orders. Please inspect every delivery and report damage or shortages within 5 business days (wholesale) or 7 days (retail). Wholesale buyers must follow each brand's sales-channel rules. California law governs these terms.

1. Who we are and what these terms cover

This website is operated by MIJU BEAUTY Inc. ("MIJU," "we," "us"), 1303 W Valencia Dr. #309, Fullerton, CA 92833, a U.S. importer and wholesale distributor of Korean beauty brands. These Terms and Conditions (the "Terms") govern your use of miju.odoo.com, mijubeauty.com, and related pages (the "Site"), and every order you place with us through the Site, by email, by phone, or in person, unless we have signed a separate written agreement with you that says otherwise. By using the Site or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, Returns Policy, and, for wholesale accounts, our Authorized Reseller Policy.

2. Eligibility, accounts, and verification

  • Retail customers. Members of the public may browse the Site and, where checkout is available, buy at the listed manufacturer's suggested retail price (MSRP). You must be at least 18 years old (or the age of majority where you live) to place an order.
  • Wholesale accounts. Wholesale pricing is available only to approved business accounts, such as retail stores, salons, spas, online retailers, and distributors in the United States, Mexico, and Latin America. Accounts are opened by invitation or application and approval. We may ask for business registration, a valid resale or seller's permit or certificate, tax identification, trade references, photos or links to your store or online channels, and identity verification of the person ordering.
  • Our discretion. We may approve, decline, limit, suspend, or close any account at our discretion, including if information you provide cannot be verified, appears inaccurate, or changes without notice to us.
  • Your login. Keep your login private. You are responsible for orders placed through your account. Tell us right away if you believe your account has been used without your permission. Wholesale prices shown after login are confidential and may not be published or shared.

3. Orders, acceptance, and our right to refuse or cancel

Your order is an offer to buy. An order confirmation email means we received your order; it does not mean we accepted it. We accept an order when we ship it or confirm acceptance in writing. We may refuse, limit, or cancel any order (in whole or in part), before or after confirmation, including when:

  • a product is out of stock, discontinued, or restricted by the brand for your channel or region;
  • a price, description, or availability error appears on the Site;
  • we cannot verify your identity, business status, payment, billing information, or shipping address;
  • the order shows signs of fraud, reselling in violation of brand rules, or quantities beyond normal needs; or
  • your account is past due or in breach of these Terms.

If we cancel after you have paid, we will refund the amount paid for the canceled items using the original payment method (or another method we agree on).

4. Pricing

  • MSRP and wholesale prices. Public visitors see MSRP. Approved wholesale accounts see their wholesale prices after logging in. Prices are in U.S. dollars unless stated otherwise and may change at any time without notice; the price that applies is the one shown when we accept your order.
  • Errors. We work to keep prices and product details accurate, but mistakes happen. If an item is listed at an incorrect price or with incorrect information, we may cancel the order or contact you to confirm the correct price before shipping, even after an order confirmation has been sent.
  • Minimums and promotions. Wholesale minimum order amounts, case packs, volume pricing, and promotions apply only as stated in writing and may be changed or ended at any time.

5. Payment and payment verification

We accept the following payment methods, subject to approval for each account and order:

  • Credit and debit cards, processed securely by our payment processor, Stripe. We do not store full card numbers on our servers.
  • Wire transfer or bank transfer. Orders paid by wire ship after the funds are received and cleared in our account. You are responsible for bank fees charged by your bank or intermediary banks. We will never change our bank details by email alone; always confirm wire instructions by calling us at +1 657-790-0000 before sending funds.
  • Cash on delivery (COD) or cash on pickup, available only for local delivery or pickup in Orange County and Los Angeles County, California. We may confirm the order by phone before delivery and may require photo identification, exact payment, or proof of authority to pay for a business. We may decline or cancel cash orders at our discretion.

To protect you and us from fraud, we may at any time (a) require additional verification, such as matching billing and shipping addresses, identification, or a call-back to a verified phone number; (b) require prepayment, a deposit, or payment by a particular method; (c) hold an order until verification is complete; or (d) cancel an order we cannot verify. Any credit terms (for example, net payment terms) are offered only in writing and may be changed or withdrawn. Past-due amounts may result in account suspension, and you agree to pay reasonable costs of collection, including reasonable attorneys' fees, to the extent permitted by law. If you dispute a card charge, please contact us first so we can try to resolve it.

6. Taxes and resale certificates

Prices do not include sales tax, use tax, duties, or similar charges unless stated. We collect sales tax where required by law. If you are buying for resale and claim an exemption, you must provide a valid, complete resale certificate (for example, a California resale certificate or a multistate or other state certificate accepted in your state) before the order is invoiced, and keep it current. You are responsible for any tax, interest, or penalty that results if your certificate is invalid, expired, or used for items not actually held for resale. For international orders, the buyer is the importer of record unless we agree otherwise in writing and is responsible for duties, import taxes, customs clearance, and compliance with local product and labeling rules.

7. Shipping, title, and risk of loss

Orders ship from our inventory in California. Shipping options and charges are described in our Shipping Policy. Delivery dates are estimates. Unless we agree otherwise in writing, title to and risk of loss for products pass to you when we deliver the products to the carrier (or, for pickup orders, when you or your representative collect them). We will help you file a claim with the carrier for loss or damage in transit as described in the Shipping Policy.

8. Inspection; damage and shortage claims

Please inspect each delivery as soon as it arrives. Report any visible damage, shortage, or incorrect item to us, with your order number and photos of the outer carton, packing materials, and affected items:

  • Wholesale orders: within 5 business days after delivery.
  • Retail orders: within 7 days after delivery.

If damage is visible at delivery, note it on the carrier's delivery receipt if possible. Keep all packaging until the claim is resolved. Except for hidden defects that could not reasonably have been found on inspection, wholesale deliveries not reported within this window are considered accepted. Nothing in this section limits rights you have under applicable consumer protection law.

9. Returns

Returns, replacements, and credits are handled under our Returns Policy. For hygiene and safety reasons, opened or used cosmetics generally cannot be returned unless they arrived damaged, defective, or incorrect.

10. Product information and safety

  • Products are cosmetics and personal care items imported for the U.S. market with English labeling. Always read and follow the label, ingredient list, directions, and warnings on the product.
  • Skin and hair reactions can happen with any product. We recommend a patch test before first use, especially for hair color, which must be used exactly as directed on its label. Stop using a product and consult a health care provider if irritation occurs.
  • Product descriptions, images, and statements on the Site are provided by us or by the brands for general information. Packaging and formulas may change, and the label on the product you receive controls. Information on the Site is not medical advice and is not intended to diagnose, treat, cure, or prevent any disease.

11. Authorized resale and brand channel rules (wholesale accounts)

Wholesale accounts may resell products only as permitted by our Authorized Reseller Policy, which is part of these Terms. In short: sell products only in their original, unaltered packaging; do not repackage, relabel, or remove codes or labels; follow each brand's channel, marketplace, territory, and advertised-price rules that we share with you; and ask us before listing any product on Amazon or another marketplace. We may suspend shipments, cancel open orders, or close accounts that violate these rules.

12. Faire orders

Some retailers buy our products through Faire. Orders placed through Faire are governed by Faire's own terms, payment terms, and return policies, and not by Sections 3 through 9 of these Terms. Our Authorized Reseller Policy and intellectual property terms still apply to products bought through Faire.

13. Use of the Site

You agree not to misuse the Site, including by attempting to access accounts or data that are not yours, scraping wholesale prices or content, introducing malicious code, interfering with the Site's operation, or using the Site for any unlawful purpose. We may change, suspend, or discontinue any part of the Site at any time.

14. Intellectual property

The Site and its content, including text, graphics, layout, and our own photographs, are owned by MIJU or its licensors and are protected by law. Brand names, logos, product names, and product images are the property of their respective owners. Approved wholesale accounts may use product images and descriptions we provide only to advertise genuine products bought from us, without alteration that misrepresents the product, and must stop on request or when the account ends. No other license is granted. Nothing on the Site makes you an agent, franchisee, or partner of MIJU or any brand.

15. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND MIJU DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Any warranty from a brand is provided by that brand. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MIJU WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, OR LOSS OF GOODWILL, ARISING FROM THE SITE, THESE TERMS, OR ANY PRODUCT. MIJU'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM. These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, fraud, or willful misconduct, and do not limit non-waivable rights of consumers.

17. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless MIJU and its officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of law, or, for wholesale accounts, your resale, relabeling, storage, handling, advertising, or marketplace listing of products.

18. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any lawsuit relating to the Site, these Terms, or any order must be brought in the state or federal courts located in Orange County, California, and you and MIJU consent to the jurisdiction of those courts, except that a consumer may bring a claim in small claims court where they live if permitted by law.

19. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign your account or these Terms without our written consent. Neither party is responsible for delays caused by events beyond its reasonable control. If a purchase order or other document you send contains different terms, these Terms control unless we agree otherwise in a signed writing.

20. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows when they last changed. Changes apply to orders placed and Site use after the updated Terms are posted.
